Agropoint Services — Legal
Terms of Service
1. Acceptance of These Terms
These Terms of Service (the “Terms”) govern your access to and use of Agropoint Services’ websites, digital materials, course content, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
We may update these Terms from time to time. Changes become effective when posted on this page unless a later effective date is stated. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
2. Description of Services
Agropoint Services provides remote learning experiences related to agricultural operations, agribusiness fundamentals, workflow organization, and project planning. The Services may include video lessons, reading materials, templates, assignments, community features, and live or recorded sessions.
Unless explicitly stated otherwise in a specific offering, the Services are educational in nature. We do not provide guaranteed outcomes, guaranteed yield improvements, or certified training.
3. Eligibility and Account Responsibility
You must be at least the age of majority in your jurisdiction to purchase or enroll in paid Services. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to provide accurate, current information and to promptly update it as needed. We may suspend or terminate access if information is materially inaccurate or if we reasonably suspect unauthorized use.
4. Purchases, Pricing, and Taxes
Pricing, inclusions, and access periods are described at the time of purchase. Prices may change for future purchases, but changes will not retroactively affect purchases already completed.
You are responsible for any taxes, duties, or similar governmental assessments associated with your purchase, unless otherwise stated. Payment processing may be handled by third-party providers subject to their terms.
5. Access, Delivery, and Availability
Digital content is typically delivered through an online platform. We aim to keep Services available, but availability is not guaranteed. Maintenance, platform updates, outages, or force majeure events may impact access. We may also modify content to keep it accurate, improve clarity, or update methodology.
If an offering specifies an access window (for example, “lifetime access” or “12 months access”), it refers to access during the operational life of the platform and the offering’s presence within it, subject to these Terms and compliance. “Lifetime” does not mean the lifetime of an individual user.
6. Acceptable Use
You agree not to misuse the Services. Prohibited conduct includes, but is not limited to:
- Copying, recording, scraping, or distributing course content without authorization.
- Sharing access credentials or enabling unauthorized access to paid materials.
- Attempting to interfere with platform security, availability, or user experience.
- Uploading malware, abusive content, or content that infringes third-party rights.
- Using the Services to provide competing training materials derived from our content.
We may investigate and take action, including removing content, limiting functionality, or terminating accounts for violations.
7. Intellectual Property
The Services and all associated content, including video lessons, text, graphics, templates, and branding, are owned by Agropoint Services or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial learning, unless an offering explicitly allows broader use.
You may not reproduce, distribute, publicly display, create derivative works from, or exploit any content except as permitted by these Terms or by written permission.
8. User Content and Community Guidelines
If you submit comments, assignments, feedback, or other content through the Services (“User Content”), you represent that you have the necessary rights to submit it and that it does not violate law or third-party rights.
You grant Agropoint Services a worldwide, non-exclusive license to host, store, reproduce, and display your User Content solely for operating, improving, and providing the Services, including moderation and customer support.
9. Educational Disclaimer
Agricultural outcomes depend on factors beyond any course content, including local conditions, weather, soil composition, input availability, labor, regulatory obligations, and operational constraints. The Services are provided for educational purposes and are not a substitute for professional agronomy advice, legal advice, or regulatory compliance guidance.
You remain solely responsible for decisions you make and actions you take based on the Services. You should consult qualified professionals where appropriate.
10. Third-Party Services and Links
The Services may reference third-party tools or resources. Such references are provided for convenience and do not constitute endorsement. We are not responsible for third-party content, terms, or practices.
11. Suspension and Termination
We may suspend or terminate your access to the Services if you violate these Terms, engage in fraud, or if your use poses a security or operational risk. You may stop using the Services at any time.
Upon termination, your license to access content ends. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and dispute terms.
12. Limitation of Liability
To the maximum extent permitted by law, Agropoint Services will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising out of or related to your use of the Services.
To the maximum extent permitted by law, Agropoint Services’ total liability for any claim relating to the Services will not exceed the amount you paid to Agropoint Services for the applicable offering during the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Agropoint Services from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your violation of these Terms, or your infringement of any rights of another.
14. Governing Law
These Terms are governed by applicable laws determined by the relevant jurisdiction rules, without regard to conflict of law principles. Where required, consumer rights and mandatory protections remain unaffected.
15. Changes to Services
We may add, remove, or change features and content. We may discontinue certain offerings or components, including if operational, legal, or technical constraints require it. Where possible, we will provide reasonable notice for material changes that affect paid access.
